The primary focus of our merger and acquisition activity is selling companies whose value is intangible. These are typically technology and service companies with the transaction size ranging from $3 million to $35 million. We have 28 years of experience arranging the sale of companies.

Getting the Best Price

Obtaining the best price for the client is a function of generating competitive offers for the company. We work diligently to create alternatives and develop competing bids. A pivotal part of this process is getting buyers to the table at the same time.

It is also critical to make sure all potential buyers are contacted, including the non-obvious buyers. These companies utilize acquisitions as a vehicle for market entry. We are very resourceful in identifying buyers at the edge of the market.

Typical Client Profile

Our clients fall into two categories: (1) older companies in which the shareholders are seeking liquidity, and (2) newer companies with viable technology and significant upside potential, but whose costs of getting to market are higher than investors prefer to fund. To best reach the next level of growth the company needs to be part of a larger firm with greater resources and established sales channels.

We Know the Buyers

Our experience has shown that the most likely buyers of small technology or service companies (in the $3 million to $35 million range) are companies with revenues of $25 million to $175 million. Many of these buyers are privately held. These firms want to become $100 million to $200 million businesses. We maintain an extensive database of technology and service companies and we keep in regular contact with them through our newsletter and our ongoing search activity.

Our Process

Our experience has helped us develop an excellent, time-tested process for selling technology and service companies whose value is intangible. This is a highly disciplined process that includes positioning the company, valuation advice, identifying, contacting and screening buyers, negotiating, structuring and closing.
